Terms of Service for Couchz (OCZ LTD)

  1. Introduction: This Terms of Service agreement (the "Agreement") is between you and OCZ LTD, trading as Couchz, a company incorporated under the laws of the United Kingdom with registered office at [insert address], (the "Company" or "We"). This Agreement governs your use of the Couchz online platform and related services (collectively, the "Services").

  2. Acceptance of Terms: By accessing or using the Services, you agree to be bound by this Agreement and all terms, policies, and guidelines incorporated by reference. If you do not agree to these terms, do not use the Services.

  3. Changes to Terms: We reserve the right to modify this Agreement at any time, and such modification shall be effective immediately upon posting of the modified Agreement on the Services. Your continued use of the Services following any such modification constitutes your acceptance of the terms of the modified Agreement.

  4. Eligibility: You represent and warrant that you are at least 18 years of age and have the legal capacity to enter into this Agreement. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind such organization to this Agreement.

  5. Description of Services: Couchz provides an online platform that allows users to purchase new furniture and related products (the "Products"). The Services also provide users with information and recommendations related to Products and other content.

  6. User Conduct: You agree that you will use the Services only for lawful purposes and that you will not use the Services: (a) to upload, post, or otherwise transmit any material that is false, misleading, unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable; (b) to harm minors in any way; (c) to impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity; (d) to upload, post, or otherwise transmit any material that you do not have a right to transmit under any law or under contractual or fiduciary relationships; (e) to upload, post, or otherwise transmit any material that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party; or (f) to interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies, or regulations of networks connected to the Services.

  7. Proprietary Rights: The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by the Company, its licensors, or other providers of such material and are protected by United Kingdom and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. These rights are reserved to the respective owners of such rights and are protected by law.

  8. COUCHZ stands by its commitment to provide a comprehensive one-year warranty on all its products. Should you encounter any issues with your purchased item within the initial 12 months, we encourage you to promptly contact our dedicated customer service team at support@couchz.co.uk. To ensure a smooth process, kindly furnish us with a detailed description of the damage and, if possible, include photos illustrating the issue. Rest assured, our team will promptly assess your claim and, if deemed necessary, facilitate the delivery of replacement parts. However, please be aware that this warranty does not extend to damages resulting from regular wear and tear, moisture or heat damage, misuse, or surface imperfections on real wood products. Additionally, it is crucial to note that the warranty becomes void if an item has been altered from its original condition. Nevertheless, be assured that none of the aforementioned exclusions will impede your statutory rights.

  9. Limitation of Liability: The Company will not be liable for any damages of any kind arising from the use of the Services, including but not limited to direct, indirect, incidental, punitive, and consequential damages.

  10. Indemnification: You agree to indemnify, defend, and hold harmless the Company, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, assigns, content providers, and other authorized users, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of your use of the Services or your violation of this Agreement.

  11. Dispute Resolution: Any dispute arising out of or in connection with this Agreement will be resolved through binding arbitration in accordance with the London Court of International Arbitration.

  12. Governing Law: This Agreement and the relationship between you and the Company will be governed by the laws of England and Wales.

  13. Entire Agreement: This Agreement constitutes the entire agreement between you and the Company and governs your use of the Services, superseding any prior agreements between you and the Company with respect to the Services.

  14. Waiver and Severability: The failure of the Company to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement is found to be invalid, the parties agree that the remaining provisions of the Agreement shall remain in full force and effect.

  15. Assignment: You may not assign this Agreement or transfer any rights to use the Services without the prior written consent of the Company. The Company may assign this Agreement, in whole or in part, at any time without notice to you.

  16. IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first above written.
